Version 2026-09-15 · Applies to business-to-business trade credit accounts only.
1. Who these terms are between
These Trade Credit Account Terms & Conditions ("Account Terms") govern any credit account operated by Stage Supply Ltd ("we", "us", "our"), registered in England and Wales, registered office Unit 16A, Main Drive, East Lane Business Park, Wembley, London HA9 7NA. They apply to the business, company, charity or other organisation in whose name the account is held ("you", "the Account Holder").
These Account Terms are additional to, and form part of, our main Terms & Conditions. Where there is any conflict on matters of credit, invoicing or payment, these Account Terms prevail. A trade credit account is available to business customers only; it is not offered to consumers.
2. Opening an account
2.1 A trade credit account is opened only after you submit an application and we approve it. Approval, and the setting of any credit limit, is entirely at our discretion. We are under no obligation to give a reason for declining an application or for offering a limit lower than requested.
2.2 You confirm that all information given in your application is true, accurate and complete, and that the person applying is authorised to enter into these Account Terms on behalf of the Account Holder.
2.3 We may make searches with credit reference and fraud prevention agencies, and with trade references you supply, in order to assess and to periodically review your account. These agencies may record our search. By applying you consent to these searches and to our processing of that information in line with our Privacy Policy.
3. Credit limit
3.1 Your credit limit is the maximum total value of unpaid on-account orders permitted on your account at any time, inclusive of VAT.
3.2 We may increase, reduce, suspend or withdraw your credit limit at any time at our discretion, including where payments are overdue or where our assessment of your account changes. Where practical we will tell you in advance, but we are not obliged to.
3.3 If an order would take you over your available credit, the Trade Account payment option will not be offered for that order. You may still complete the order using another payment method.
4. Placing orders on account
4.1 On-account orders may be placed only through your approved, logged-in account. You are responsible for keeping your account login secure and for every order placed under it, whether or not you authorised the individual who placed it.
4.2 Each on-account order is subject to stock availability and to our main Terms & Conditions in the usual way. A contract is formed when we send our order confirmation.
5. Invoicing and payment
5.1 We issue an invoice for each on-account order. The invoice is normally raised when the order is dispatched or marked complete, and is sent electronically to the accounts/invoicing email held on your account.
5.2 Payment is due in full within 30 days from the date of invoice (or such other period as we confirm in writing for your account), regardless of whether you have been paid by any third party.
5.3 Payment must be made in pounds sterling by the method(s) shown on the invoice (for example BACS bank transfer), quoting the invoice number. Title in the goods is dealt with in clause 8.
5.4 You must pay all sums in full without any set-off, counterclaim, deduction or withholding, except as required by law.
6. Late or missed payment
6.1 If any sum is not paid by its due date then, without limiting our other rights, we may:
- charge interest and compensation on the overdue amount under the Late Payment of Commercial Debts (Interest) Act 1998 — statutory interest at 8% per year above the Bank of England base rate, together with the fixed-sum compensation and reasonable costs of recovery permitted by that Act;
- suspend your account and withhold further supplies on credit until all overdue sums are cleared;
- require immediate payment of all outstanding invoices on your account, whether or not otherwise yet due; and
- reduce or withdraw your credit facility.
6.2 Continued or serious late payment may result in your account being closed and the debt being referred for recovery.
7. Queries and disputes
7.1 If you dispute an invoice, or any part of it, you must tell us in writing within 7 days of the invoice date, giving your reasons. Any undisputed part of the invoice remains payable by the due date.
7.2 Raising a query does not extend the due date for amounts that are not genuinely in dispute.
8. Retention of title and risk
8.1 Risk in goods passes to you on delivery.
8.2 Legal and beneficial title to goods does not pass to you until we have received full cleared payment of all sums owed by you on your account (not only for those particular goods). Until title passes you must store the goods so they are identifiable as ours, and we may recover them; you grant us and our agents a licence to enter any premises where the goods are kept for that purpose.
9. Keeping your account details up to date
You must tell us promptly of any change to your business name, ownership, registered or trading address, accounts contact or invoicing email, or of any event that materially affects your ability to pay (for example insolvency proceedings). Invoices sent to the accounts email held on your account are treated as validly delivered.
10. Suspension and closing the account
10.1 Either party may close the account at any time on written notice. Closure does not affect invoices already raised, which remain payable under these Account Terms.
10.2 We may suspend or close your account immediately if you breach these Account Terms, if a payment is overdue, if any information you gave was materially inaccurate, or if you become, or we reasonably believe you are about to become, insolvent.
11. Data protection
We process personal data connected with your account in accordance with our Privacy Policy, including sharing information with credit reference and fraud prevention agencies for the purposes described in clause 2.3.
12. Changes to these terms
We may update these Account Terms from time to time. The version in force when you place an on-account order is the version that applies to that order, and is recorded against it. The current version is always available at this page.
13. Governing law
These Account Terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
